This SaaS Subscription Agreement ("Agreement") is entered into by and between Business Automation Professionals LLC, a Utah limited liability company ("Provider"), and the subscribing party identified below ("Subscriber"), collectively referred to as the "Parties."

1. Services Provided

Provider offers access to its proprietary cloud-based business automation software platform known as the Business Automation Platform. This platform includes tools for CRM, appointment scheduling, workflow automation, messaging, invoicing, marketing, and more.

2. Effective Date

This Agreement becomes effective on the date Subscriber is granted access to the Business Automation Platform. ("Effective Date").

3. Subscription Plans and Fees

Subscriber agrees to pay the subscription fees applicable to the selected plan as described at the time of signup or as amended in future pricing notices. Fees are non-refundable except as expressly provided in this Agreement. The subscription fee is either one-hundred and twenty-seven dollars ($127.00) for the Signature Plan, or three-hundred and fifty dollars ($350) for the Advanced Plan, which is to be billed monthly, starting fourteen (14) days after the effective date.

4. Term and Termination

This Agreement is a recurring one (1) month contract billed monthly. Subscriber may terminate this Agreement at any time within the first fourteen (14) days from the Effective Date, and incur no financial burden, by providing written notice. After the 14-day period, Subscriber shall remain financially committed to the remainder of the one-month term. Early termination after the 14-day period shall not relieve Subscriber of its payment obligations for the remaining term. After the 1-month subscription term has concluded, you may cancel your subscription for the following billing cycle at any time. No refunds will be issues for payments already processed.

5. Grant of Access

Provider grants Subscriber a limited, non-exclusive, non-transferable right to access and use the Business Automation Platform for Subscriber’s internal business operations, subject to this Agreement.

6. Restrictions

Subscriber shall not: (a) reverse engineer, copy, resell, or sublicense the platform or any part thereof; (b) use the platform for any unlawful or unauthorized purpose; or (c) allow third parties outside its organization to access the platform.

7. Data and Privacy

Subscriber’s data will be handled in accordance with Provider’s Privacy Policy and Data Processing Agreement. Subscriber remains the data controller for any client data uploaded to the system.

8. Support and Service Levels

Provider will make reasonable efforts to maintain 99.9% uptime and respond to support requests within standard business hours (M–F, 9am–5pm MST), excluding U.S. holidays.

9. Intellectual Property

All rights, title, and interest in the Business Automation Platform and related materials remain the exclusive property of Provider.

10. Limitation of Liability

Provider shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the fees paid by Subscriber in the one (1) months prior to any claim.

11. Governing Law

This Agreement shall be governed by the laws of the State of Utah. Any disputes shall be resolved in the courts of Utah County, Utah.

12. Entire Agreement

This Agreement, together with the Privacy Policy, Terms of Service, Mutual Non-Disclosure Agreement, and Data Processing Agreement, represents the entire agreement between the Parties.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
